Terms of Use

1. Eligibility

You may use FRANCELY only if:

• You are at least the age of majority in your jurisdiction, or you have the consent of a parent or legal guardian, and
• You have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of another person or entity, you represent that you are authorized to do so and that you agree to these Terms on their behalf.

2. Description of the Service

FRANCELY is a language-learning application designed to help users learn French through lessons, exercises, and audio content.

We may update, modify, or discontinue parts of the Service at any time, with or without notice, as long as this does not materially violate applicable law or your paid rights.

3. Account Registration

To access some features of the Service, you may need to create an account.

You agree to:

• Provide accurate, current, and complete information
• Keep your login credentials secure and confidential
• Notify us promptly at thibault@apptricksstudio.com if you suspect any unauthorized use of your account

You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if we believe you have violated these Terms or applicable laws.

4. Subscriptions, Purchases, and Billing

4.1 In-App Purchases

FRANCELY may offer paid features, subscriptions, or one-time purchases processed through:

• Apple App Store in-app purchases

All purchases are processed by the platform provider, not directly by us. Your billing relationship is primarily with Apple, and their terms and payment policies apply.

4.2 Subscription Terms

If you purchase a subscription:

• Your subscription may automatically renew at the end of each billing period (for example, weekly, monthly, or yearly), unless you cancel at least 24 hours before the end of the current period.
• The renewal will be charged to your Apple ID account at the price displayed in the App at the time of purchase or renewal (unless changed by Apple or us, in which case updated pricing will be displayed before renewal).

You can manage and cancel your subscription in your App Store account settings.

4.3 Free Trials

From time to time, we may offer free trials for a limited period.

• At the end of the trial, the subscription may automatically convert to a paid subscription unless you cancel before the trial ends.
• Eligibility for free trials may vary and is determined by us and/or the platform provider.

4.4 Refunds

Refunds for in-app purchases and subscriptions are generally handled by the platform provider (for example, Apple).

You must contact Apple Support (or the relevant platform) to request refunds, in accordance with their policies.

To the maximum extent permitted by law, we do not provide direct refunds for purchases made through app stores.

5. License and Intellectual Property

5.1 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to:

• Download and install the App on an iOS device you own or control, and
• Access and use the Service for your personal, non-commercial use.

5.2 Our Intellectual Property

All content and materials in the Service, including but not limited to:

• Text, lessons, exercises, and translations
• Audio, graphics, logos, icons, and design
• Software, code, and underlying technology

are owned by App Tricks Studio or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, adapt, translate, or create derivative works based on the Service
• Reverse engineer, decompile, or attempt to extract source code (except where permitted by law)
• Use our name, logo, or branding without our prior written consent

6. User Content

6.1 Your Content

“User Content” means any content you submit, upload, or generate using the Service (for example, text answers, recordings, feedback, or other contributions).

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to:

• Use, reproduce, modify, adapt, and display the User Content
• For the purposes of operating, improving, and promoting the Service

You are responsible for your User Content and represent that:

• You own the rights to it or have permission to share it
• Your content does not infringe any third-party rights, violate any law, or contain illegal or harmful material

6.2 Monitoring

We are not obligated to monitor User Content, but we reserve the right to:

• Remove or modify User Content that violates these Terms or applicable laws
• Suspend or terminate accounts involved in repeated or serious violations

7. Acceptable Use

You agree not to:

• Use the Service for any illegal, harmful, or fraudulent purposes
• Harass, threaten, or impersonate others
• Upload or share content that is defamatory, obscene, hateful, or infringing
• Attempt to gain unauthorized access to the Service, other users’ accounts, or our systems
• Interfere with or disrupt the operation of the Service (including through attacks, overloads, or exploitation of vulnerabilities)
• Use automated scripts, bots, or scrapers to access or interact with the Service, unless explicitly allowed

We may take appropriate action, including account suspension or termination, if you violate this section.

8. Third-Party Services and Links

The Service may contain links or integrations to third-party websites, services, or content that we do not control.

We are not responsible for:

• The content, privacy practices, or terms of third-party services
• Any damage or loss arising from your use of them

You are encouraged to review the terms and privacy policies of any third-party services you use.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

By using FRANCELY, you acknowledge and agree to the practices described in the Privacy Policy.

10. Disclaimers

To the fullest extent permitted by law:

• The Service is provided on an “AS IS” and “AS AVAILABLE” basis.
• We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• We make no guarantee regarding:
  • Specific learning results or improvements in language skills
  • Compatibility with all devices, operating systems, or configurations

You use the Service at your own risk.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• App Tricks Studio, its directors, employees, and partners will not be liable for:
  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or goodwill
  • Any damages resulting from:
    • Your use of, or inability to use, the Service
    • Any unauthorized access to or use of your account or data
    • Any third-party content, services, or actions
• In any case, our total aggregate liability arising out of or in connection with the Service and these Terms will be limited to the greater of:
  • (a) the total amount you have paid to us (if any) for access to the Service during the twelve (12) months preceding the event giving rise to the claim, and
  • (b) fifty euros (€50).

Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless App Tricks Studio, its officers, employees, and partners from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if:

• You violate these Terms or applicable laws
• We are required to do so by law or by platform providers
• We decide to discontinue the Service (where reasonably possible, we will provide notice)

You may stop using the Service at any time and, if applicable, delete the App from your device.

Sections that by their nature should survive termination (such as Intellectual Property, Disclaimers, Limitation of Liability, Governing Law, and Indemnification) will remain in effect after termination.

14. Changes to These Terms

We may update these Terms from time to time.

• When we do, we will change the “Last updated” date at the top of this page.
• In case of material changes, we may notify you via the App or through other reasonable means.

By continuing to use the Service after changes become effective, you agree to the updated Terms. If you do not agree, you should stop using the Service.

15. Governing Law and Jurisdiction

These Terms and your use of the Service are governed by the laws of France, without regard to its conflict of law principles.

Any disputes shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France, unless otherwise required by mandatory consumer protection laws in your jurisdiction.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of FRANCELY and supersede any prior or contemporaneous agreements or understandings relating to the Service.
